Summary
The Paralegal- Corporate, ECG is an integral part of the firm’s Professional and Paralegal team. This role will be responsible for providing substantive support to attorneys and supervising paralegals in the management of emerging company, venture capital financing, and other corporate matters, while executing substantive legal and procedural tasks in support of emerging company, venture capital financing, and general corporate matters, taking ownership of assigned tasks and deliverables. This role will be located in their Los Angeles office in Century City. Please note that this role may be eligible for a flexible working schedule that allows for a hybrid and in-office presence.
Responsibilities
- Preparing, reviewing, and organizing corporate and transactional documents, including governance documents, financing documents, and closing materials
- Maintaining and analyzing corporate records, capitalization tables, and equity records, and supporting equity plan administration
- Coordinating transaction execution, including document management, closing deliverables, and stakeholder communications
- Supporting client onboarding through the review and organization of corporate records, transactional documents, and capitalization information
- Preparing and coordinating entity formations, qualifications, mergers, conversions, and other corporate maintenance activities
- Completing work promptly with exceptional attention to detail while managing multiple priorities in a fast-paced environment
- Protecting and maintaining any highly sensitive, confidential, privileged, financial, and/or proprietary information that the firm retains
- Possess proficiency with the firm’s technologies and resources, including Microsoft Word, Excel, Outlook, document management systems, and other legal office applications, with the ability to efficiently complete assigned work, learn new tools, and independently troubleshoot routine technology issues
- Demonstrate strong organizational and time management skills, including the ability to prioritize multiple assignments, track deliverables, maintain organized files, adapt to shifting deadlines, and consistently meet deadlines in a fast‑paced environment with limited oversight
- Exhibit strong attention to detail and accuracy, including the ability to independently review work product for completeness, formatting, consistency, and quality, and identify and correct errors prior to submission
Qualifications
- A bachelor’s degree or equivalent
- A paralegal certificate from an ABA‑approved program or signed declaration if located in a California office
- A minimum of two (2) years of experience as a paralegal, preferably in a law firm setting

Compensation: $80,000.00-$150,000.00, plus overtime and bonus
