Paralegal – Corporate and Transactional

Summary

A leading national law firm has an immediate opening for a Corporate and Transactional Paralegal in its Fort Worth office. This is a fully in-person position supporting a dynamic corporate and transactional practice across multiple clients, including family offices and real estate funds.

Responsibilities

  • Acquire, organize, review, analyze, and summarize documents with meticulous attention to detail
  • Draft and file documents under attorney supervision with local, state, and federal agencies, including standard corporate formation, amendment and dissolution documents, name reservations, annual reports, stock certificates, and operating and merger agreements
  • Research state statutes, local code, and Secretary of State requirements for formation, amendment, dissolution, and business license filings in all states
  • Prepare for closings (including real estate and financing) by preparing closing documents, organizing signature pages, confirming closing checklists, delivering necessary documents, and completing other tasks as necessary
  • Support and maintain corporate entities and documents across multiple clients, including family offices and real estate funds
  • Handle UCC processes including filing UCC financing statements and conducting UCC/lien searches and review as part of corporate and real estate transactions
  • Utilize virtual data rooms and cloud software to upload and download documents
  • Compile closing binders for various closings including real estate acquisitions, dispositions, and financings
  • Execute on the minute details of a project or task, and provide alternative options and solutions to best serve internal and external clients
  • Research and implement necessary procedures to meet client requests
  • Work with service companies to ensure timely filings
  • Remain current on specific legal guidelines for the corporate practice area, including local, state, and federal regulations, document recording requirements, and filing procedures
  • Effectively set priorities, provide timely updates, meet deadlines, and manage multiple projects
  • Maintain proficiency in Microsoft Suite/Outlook, InTapp, iManage, and other programs used in the practice area

Qualifications

  • Paralegal certificate or related degree preferred
  • 3+ years of experience preferred
  • Billable requirement: 1,600 hours per year
  • 5 days in-office
  • Meticulous attention to detail in all tasks
  • Proficiency in Microsoft Office Suite (Outlook, Word, Excel, PowerPoint), Kofax, iManage, and various electronic data rooms

Compensation: Up to $130,000.00 annually plus overtime.
