- Assist in all phases of closings of general financings, public offerings, acquisitions and mergers, and other corporate transactions.
- Review, prepare and file UCC financing statements.
- Draft closing certificates and closing checklists, coordinate lien review.
- Attend closing transactions and assist with document organization; prepare and distribute bound volumes of closing documents.
- Assist with formation of corporations and ensure that all requirements are met for successful ongoing operations of corporations.
- Proofread and redline documents.
- Conduct research and perform library and online searches.
- May assist with preparation of response to auditor letters.
Qualifications
- Bachelor’s degree preferred, with a minimum of four years of relevant paralegal or comparable legal experience in financial transactions or a related practice area.
- Proven ability to work independently with minimal supervision, taking full ownership of projects from initiation to completion while proactively identifying and resolving issues.
- Demonstrated ability to manage multiple concurrent projects under pressure, following complex instructions with a high degree of accuracy and meticulous attention to detail.
- Strong capacity to research, synthesize, and clearly communicate complex data, paired with excellent written and verbal communication skills.
- Advanced proficiency in Microsoft Office Suite, including Word, Outlook, Excel, and PowerPoint, with a commitment to leveraging technology to drive efficiency.

Compensation: $99,000.00-$138,000.00, plus overtime and bonus.
