Summary
A boutique, highly specialized and niche law firm is seeking a highly motivated and detail-oriented Crowdsourcing Paralegal to support our legal team in matters relating to private placements, exempt offerings, and Regulation D (Reg D) under the Securities Act of 1933, along with corporate state filings. The ideal candidate will have a strong understanding of private securities offerings, including the preparation and filing of Private Placement Memoranda (PPMs), and be experienced in the regulatory frameworks governing exempt securities offerings. This position offers an exciting opportunity to work on innovative crowdfunding platforms, assisting in the legal processes related to equity and debt offerings for startups and small businesses.
Key Responsibilities
Private Placement Memoranda (PPM) Support
• Assist in drafting, reviewing, and finalizing Private Placement Memoranda (PPMs) for various types of securities offerings.
• Coordinate with attorneys, clients, and other stakeholders to ensure compliance with SEC regulations and state laws.
• Ensure all required disclosures and risk factors are properly outlined in the PPMs.
• Help prepare and compile exhibits and schedules required for the offering documents, including financial statements and subscription agreements.
• Review and maintain offering materials for accuracy and completeness.
Regulation D (Reg D) Offerings
• Provide legal support related to Reg D Rule 504, Rule 505, and Rule 506 offerings, ensuring compliance with SEC guidelines for exemptions from registration.
• Assist in the preparation of Form D filings with the SEC and coordinate state-level Blue Sky filings as necessary.
• Maintain records of investor accreditations and help ensure the company’s compliance with Reg D requirements for accredited investors.
• Assist with the preparation of subscription agreements, investor questionnaires, and other offering-related documents.
Crowdsourcing and Crowdfunding Offerings
• Assist with the legal aspects of equity and debt crowdfunding offerings, including preparing relevant documentation for public offerings under Regulation Crowdfunding (Reg CF).
• Collaborate with legal and compliance teams to ensure that crowdfunding offerings adhere to the limitations and requirements of Reg CF (e.g., offering limits, investor caps).
• Support in drafting investor communications, including offering materials and updates.
Compliance & Regulatory Filings
• Assist in maintaining compliance with federal and state securities laws, particularly with respect to private offerings and exempt securities transactions.
• Help track deadlines for filings, including SEC filings (e.g., Form D, Form C for Reg CF), and other required documents.
• Monitor and ensure adherence to the rules regarding investor solicitation and advertising in private offerings.
Due Diligence and Documentation
• Assist with due diligence efforts, ensuring the accuracy of investor accreditation status and other background checks.
• Maintain organized and accurate records of all offering documents, communications, and investor information.
• Manage the execution of subscription agreements and related closing documents.
General Legal Support
• Assist with state corporate filings, including preparing and filing certificates of incorporation, and amendments thereto, the filing of crowdfunding SPV’s and corporate qualification submissions.
• Provide general paralegal support for corporate governance, securities law compliance, and other corporate matters related to startups, emerging companies, and private offerings, including the drafting of Board and shareholder resolutions, when appropriate.
• Keep up-to-date with changes in relevant laws and regulations and assist in advising clients on how these changes may impact their offerings.
Qualifications
Education
• Paralegal certification or degree from an accredited institution.
• Bachelor’s degree preferred, or equivalent experience.
Experience
• Minimum of 3-5 years of experience as a paralegal, with a focus on securities law, private placements, or capital markets.
• Prior experience with Private Placement Memoranda (PPMs), Reg D offerings, and Regulation Crowdfunding (Reg CF) is strongly preferred.
• Familiarity with SEC filings (e.g., Form D, Form C) and Blue Sky compliance is essential.
Skills
• Strong understanding of securities laws, particularly Reg D (private placements), Reg CF (crowdfunding), and other exempt offerings.
• Experience preparing and reviewing offering documents, including PPMs, subscription agreements, and investor questionnaires.
• Excellent organizational skills with the ability to manage multiple projects and deadlines.
• Attention to detail and ability to ensure compliance with complex regulations.
• Strong communication skills, both written and verbal, with the ability to communicate complex legal concepts clearly.
• Proficient in Microsoft Office Suite (Word, Excel, PowerPoint) and legal document management software.
