Summary

The Corporate Legal Compliance and Fund Formation Specialist will provide operational and legal support for the legal and compliance teams. The Corporate Legal Compliance and Fund Formation Specialist will be an integral member of the Legal & Operations team, working independently within the team and working cross-functionally with the firm’s other teams.

Our client is a seed-to-growth venture capital firm.

Responsibilities

  • Work closely with the legal team and outside law firms on various legal matters, including venture financing closings, SEC and other regulatory filings, and corporate entity management (e.g., manage formations, dissolutions, structure chart updates, etc.). The Specialist  must effectively communicate with investment team professionals, outside legal counsel, portfolio companies, and third parties.
  • Maintain the firm’s records for portfolio company financings, acquisitions, and funds.
  • Create matrices and trackers for compliance-related matters. Maintain calendar of important filing and reporting deadlines.
  • Manage compliance and legal projects, serving as the primary point of contact for such projects.
  • Work with the legal team to review NDAs, event contracts, board and stockholder consents, and vendor contracts on a case-by-case basis.
  • Serve as a key contributor to the compliance team in managing our compliance program, including AML/KYC review, expert network reviews, conflict reviews, and employee reporting.

Qualifications0

  • Bachelor’s degree required
  • Minimum of 4 years of experience as a paralegal or other legal team support.
  • Advanced Microsoft Office skills required with emphasis on Outlook, Word, and Excel, as well as other office technology
  • Ability to prioritize projects and acute organizational skills
  • Attention to detail, with intellectual curiosity and eagerness to learn
  • Ability to multi-task and work well under pressure in a fast-paced environment
  • High level of professionalism and discretion in protecting confidential information
  • Excellent interpersonal and communication skills, verbal and written; strong problem solving and decision-making skills; assertiveness to proactively communicate to get tasks completed in a timely fashion
  • Ability to be a strong team player

Compensation

The base salary range for this role is $120,000 – $145,000 (exempt). Our client’s benefits package includes 100% paid healthcare and a 401K plan.
