Transactional Paralegal

Summary

Our client, a real estate law firm, is seeking a full-time Transactional Paralegal. This is an excellent opportunity for the right individual. Excellent benefit package available. Hours are 9:00am-5:00pm, Monday through Friday with the possibility of overtime. Certification as a Notary Public is required.

Responsibilities

  • Report directly to the Transactions Supervisor
  • Liaise with Accounting department regarding closing dates
  • Prepare monthly reports
  • Prepare AIA Contracts using AIA software
  • Formation of corporations and limited liability companies
  • Draft operating agreements under attorney supervision
  • Prepare SS-4 forms and obtain EINs
  • Review title and survey
  • Review co-op lien searches
  • Work closely with title companies to clear title for closing
  • Prepare escrow letters
  • Prepare purchase agreements and contracts under attorney supervision
  • Prepare contract assignments, riders and amendments
  • Prepare closing checklists
  • General organization and work to prepare each file for closing (purchase/sale and loans)
  • Prepare Deeds and ACRIS forms (knowledge of ACRIS is very helpful)
  • Prepare ancillary closing documents
  • Prepare co-op documents; work closely with transfer agent
  • Prepare settlement statements
  • Attend closings (in person and escrow closings)
  • Prepare signature pages to closing documents using Adobe Acrobat
  • Prepare UCC-1s & UCC-3s
  • Assist with preparation of loan documents under attorney supervision
  • Review existing loan documents and prepare note and mortgage schedules (CEMA)
  • Prepare satisfactions and assignments of mortgages
  • Prepare ALR Terminations
  • Prepare closing binders, using secure links and CDs
  • Submit RP-602 application on-line (NYC condo apportionment system) re: tax lots
  • Submit worksheet on-line (NYC condo apportionment system) re: condo approval process
  • Review declaration and floor plans
  • Assist with attorney preparation and organization of offering plans for condos and co-ops
  • Prepare back-up binder in connection with offering plan submission
  • Prepare price-change offering plan amendments
  • Assist attorneys with yearly offering plan amendment filings
  • Attend annual meetings for corporate entities
  • Preparation of notices, proxies, affidavits and other documents for corporate annual meetings

Qualifications

  • At least 4 years’ of experience as a Transactional Paralegal with experience in commercial real estate with a focus on title and survey
  • Certification as a Notary Public is required.

Compensation

The salary range for this position is $90,000 – $110,000, nonexempt. Compensation will be based on experience.
