Corporate Paralegal

Summary

This role will work with Investment Management attorneys and the Group Administrator, to assist with the responsibilities below. Schedule: Full-time, Monday – Friday 10:00 am – 6:00 pm

Responsibilities

Non-Disclosure Agreement and Engagement Letter Tracking:

  • Responsible for NDA tracking for specific clients
  • Manage various SharePoint database websites to log agreements for clients
  • Coordinate intake of newly received agreements for negotiation.
  • Liaise with handling attorneys re: status of agreements and provide updates to clients as required
  • Assist in due diligence of gathering supporting documentation to assist the attorney’s review
  • Prepare data analysis of agreements completed for internal reports and client reports
  • Analyze finalized agreements to identify important terms for the database
  • Responsible for tracking charts, conflicts and client database content
  • Upon acknowledgement of NDA in final stage, send execution copies to clients
  • Calendar execution and follow up when counterparty does not respond
  • Assistance with ongoing compliance and onboarding projects

Investment Management/Fund Formation:

  • Perform corporate related duties including but not limited to: Obtaining EINs, Fund/Entity Formations, Drafting Structure Charts, Sub Doc review processes
  • Cursory review of agreements based on team’s needs; heavy contact with assigned attorneys; immediate and heavy client contact; attention to detail and responsiveness is imperative.
  • Related matters including with billing summaries, reconciliations and discrepancies.
  • Assist with maintenance of multiple trackers/checklists; client contact required.
  • Prepare and issue form documents to various counterparties and follow up for execution (seek attorney assistance as needed). Direct contact with clients and attorneys needed.
  • Must be able to work well various people in different departments and think proactively.
  • Must be able to multi-task, work well under pressure, balance priorities.
  • Able and willing to work overtime as needed, and on short notice, is essential.
  • Work with the various client offices on multiple transactions and follow up.
  • Work with Clients to address outstanding matters.
  • Maintain and manage workflow assignments; work closely with attorney re: same.
  • Assist attorneys with inquires and data searches.

Section 13 & 16 Tracking:

  • Similar to NDA tracking, assist with our 13G, 13H and 13F tracking on quarterly basis
  • Section 16 tracking when needed
  • Blue Sky:
  • Preparation of Form ID application and POA forms
  • Notarization of Form ID applications
  • Annual amended Form D tracking
  • Assist with blue sky tracking and other blue sky matters

Qualifications

  • Bachelor’s Degree from an accredited college is required;
  • A minimum of 2 years of paralegal experience in Corporate law is a plus;
  • Paralegal certification from an ABA-approved program is a plus;
  • Ability to work independently and work well with others;
  • Strong organization skills and attention to detail are critical;
  • A desire to learn and adapt as needed;
  • Ability to exhibit flexibility and work in a fast paced environment is critical;
  • Ability to coordinate multiple projects with simultaneously;
  • Ability to work under intense pressure is critical and essential.

Compensation

The salary range for this role is $65,000 – $75,000.
