As an Investment Funds Paralegal you will assist in the execution of fund formations, investor transfer transactions and a variety of other transactions involving investment funds asset managers while accomplishing these and other critical functions:
- Assisting with fund formation.
- Assisting with entity formation, including corporate name availability and reservation; assisting with drafting of corporate organizational documents; assisting with corporate records maintenance, and preparing foreign qualifications, dissolutions and withdrawals.
- Drafting ancillary documents under attorney supervision (e.g., certificates of formation, initial governance agreements, officer’s certificates, bylaws, corporate resolutions, etc.)
- Assisting in preparing initial drafts of transfer documents.
- Assisting in handing the initial review of transferee investor diligence materials including transfer subscription booklets.
- Primary responsibility for maintaining transfer and transfer investor data in existing Excel spreadsheets and organized final transfer documents in firm’s document management system.
- Disseminating documentation to clients and to outside parties.
- Working efficiently with firm support services, such as, Williams-Lea, Practice Support Services, and outside couriers.
- Creating closing checklist and working group list; preparing closing files, labels, and folders and assisting with the closing.
- Drafting signature pages and assisting with preparation of agreements, schedules and exhibits.
- Organizing and distributing originally executed agreements to clients and outside counsel.
- Maintaining internal database of investor information.
- Assisting with the organization of client materials and attorney work product including in computer-based technology.
- Maintaining files and other case or project records; circulating materials to project team, as needed; and maintaining chronological records of project activity.
- Establishing strong rapport and working relationships with other administrative staff, as well as strong relationships with key attorneys within the practice.
- Maintaining strong working relationships with the client and other third parties to ensure timely and accurate deal execution.
- Fostering and encouraging a culture of superior client service, responsiveness and collegiality.
- Assisting with submission of filings with the Securities and Exchange Commission through EDGAR.
As an Investment Funds Paralegal, you will be expected to apply your organizational and communication skills while displaying a positive, high-energy attitude. The successful Investment Funds Paralegal must have knowledge and proficiency in PC applications, including MS Office Suite (especially Excel), and other programs necessary to complete thorough analyses and reports. The ideal candidate will be proactive, energetic and hardworking team player. The Investment Funds Paralegal should have well-developed and professional interpersonal skills, and the ability to interact effectively with clients, attorneys, management, support staff and outside contacts and service providers. The successful candidate will be able to adapt to frequently changing priorities, and be exceptionally well-organized and detail-oriented. The Paralegal must manage time well, prioritize effectively, maintain a calm demeanor under pressure, and be able to handle multiple projects simultaneously in a deadline driven environment. The Paralegal must also be able to undertake large, long-term projects, develop innovative methods to complete them, and implement solutions. The successful candidate will have the ability to work in a team environment with a customer service focus, have superior analytical, oral and written communication skills, and must handle confidential information with the appropriate discretion.
A Bachelor’s degree is required. A minimum of three (3) or more years of prior work experience as a paralegal in a Corporate or Finance Department with an emphasis on investment funds/asset management is desired.
