Corporate Paralegal

The Opportunity
Reporting to the General Counsel, this role will support the legal team with daily corporate tasks relating to transactional, corporate maintenance, fund/venture financing investments, third party contracts, real estate transactions and program related matters. Act as a key resource between the Company’s legal department and internal and external clients through the exercise of excellent oral and written communication, organizational and prioritization skills. Inspire confidence and trust by handling confidential information sensitively and discreetly, with a commitment to professionalism and collegiality.
Role and Responsibilities
- Consistent delivery of strong internal and legal support services to internal Firm teams and external partners;
- Strong sense of accountability and taking ownership over projects;
- Manage a variety of projects in a highly detail-oriented fashion;
- Flexible and adaptable in a fast-paced, innovative and collaborative environment;
- Maintain legal records utilizing a variety of tools, such as Box, carta, Ironclad, asana, iLevel and other third-party platforms;
- Perform legal research under attorney supervision;
- Develop skills in identifying resources to increase efficiency and ensure highest quality of work product to improve internal document management and deal tracking and project management systems;
- Assist in the preparation of legal documents such as NDAs, third party contracts, entity formation and capitalization for review and approval by the legal team;
- Managing transaction checklists and closing process, including collection of requisite signatures through Docusign and other software platforms and prepare electronic closing volumes for transactional closings; and
- Provide administrative support to legal team, such as scheduling appointments and managing internal communications, relying on proficiency with Microsoft Office programs, such as Word, Outlook and Excel.
Qualifications, Skills, and Requirements
- Bachelor’s degree and strong academic record;
- 2+ years of work experience at a law firm or in-house legal department in a field that develops the skills required for the functions and responsibilities of the position;
- Passionate about the mission and values of the Firm, and specifically its aim to serve as a catalyst for change to education, immigration, environmental/climate change, and justice;
- Ability to quickly gain credibility and respect with both internal and external audiences;

Location
Firm is Bay Area-based organization with offices in Chicago, New York, Oakland and Washington, D.C. This position is based in Palo Alto.
