Private American Software Company that specializes in big data analytics is seeking a motivated Corporate and Securities Paralegal to join their legal team and help them navigate through the myriad of equity and corporate governance related challenges that they face around the world, particularly when they first begin engagements in a new country.

As a Corporate and Securities Paralegal, you will manage, anticipate, and action global corporate governance matters as well as various equity issues and employee needs across Firm’s offices in the U.S. and abroad. Responsibilities

  • Collaborate with Executives, Finance, People Operations, Attorneys, and other global teams to anticipate, implement and/or address corporate governance and equity compensation matters.
  • Anticipate, action and take ownership of U.S. and global corporate governance matters, such as international entity formation and compliance, regulatory filings, and board and shareholder actions.
  • Assist in the global administration of Firm’s equity program.
  • Maintain corporate records of both our U.S. and non-U.S. entities and support various transactional matters, including interfacing with the Board of Directors.
  • Serve as a point of contact to other parts of the business, answering questions about our various global entities, and helping other teams implement the roll-out of various Finance, Accounting, Banking, Immigration and Employment-related matters.
  • Identify and implement improvements to current operations and workflows.

Qualifications

  • At least 3 years of experience as a corporate paralegal at an established multi-national company or law firm.
  • Bachelor’s Degree or equivalent experience.
  • Working experience with Shareworks or similar equity administration software.
  • Knowledge of private company equity-related administration and legal concepts.
  • Excellent attention to detail and organizational skills, and experience improving and streamlining processes.
  • Demonstrated ability to multitask, problem-solve, and complete complex projects under pressure.
  • Impeccable judgment, discretion, and integrity.
  • Flexible schedule – firm still operate in start-up mode, and fire drills don’t always stop at 5pm.
  • Willingness to do some travel – you will be based in New York, but will spend a fair amount of time in Palo Alto, CA, and may need to travel to some of the firm’s non-U.S. offices from time to time.
