Corporate & Securities Senior Paralegal

Summary
This position requires a well-organized, independent and flexible paralegal to provide support to the attorneys on the Corporate & Securities Practice Group. The paralegal will support M&A and other transactions from inception to post-closing, and provide support on all other matters requiring corporate paralegal assistance. Depending upon type of transaction and staffing, level and nature of support required may vary from matter to matter.
Essential Functions
- Form and prepare organizational documents for various types of business entities (corporations, limited liability companies, limited partnerships, limited liability partnerships).
- Obtain and maintain Minute Books.
- Obtain Stock Books and prepare Stock Certificates, restrictive legends therefor, and Stock Ledgers.
- Check availability of and reserve entity names.
- Obtain Federal Employer Identification Numbers for business entities.
- Prepare and file various types of statutory filings, including charter amendments, dissolution/cancellation/withdrawal filings, foreign state registration filings, conversion filings, merger filings, domestication filings, and fictitious name registrations.
- Prepare Board and Stockholder Consents approving various types of actions and transactions.
- Assist with research re statutory filing procedures and requirements.
- Research status information for business entities.
- Obtain subsistence documents.
- Prepare Officer’s Certificates.
- Prepare Secretary’s Certificates and assembling attachments.
- Assist with due diligence review of certain documents/provisions.
- Assist with the preparation of discreet closing documents.
- Assist with pre-closing and closing preparation.
- Assist with assembly and tracking of signature pages.
- Performance of UCC/Lien searches and review and summary charting of results of same. Preparation and filing of UCC filings (including alternate types of filings [e.g., PMSIs]) and review of filings prepared by others. Maintain proficiency with UCC via seminar attendance and monitoring of Code revisions.
- Assist with large proofreading projects and reviewing documents for sense, consistency, cross-references, format, and calculations.
- Assemble background information on business entities for due diligence purposes via electronic research and document assembly.
- Obtain Apostilles and arrange consularization/legalization of documents.
- Research and resolve statutory compliance issues.
- Practice and foster an atmosphere of teamwork and cooperation.
- Perform any and all other duties as necessary and as assigned by your supervisor for efficient functioning of the Department, Office and Firm.
Qualifications
- Bachelor’s Degree, Paralegal Certificate and/or 7+ years’ experience.
- Ability to work independently with minimal direction.
- Ability to work directly with partners, associates, co-counsel and clients.
- Ability to prioritize and coordinate work. Ability to manage workflow and delegate projects as necessary.
- Excellent organizational skills and detail oriented.
- Effective written and oral communication skills.
- Strong proficiency with the UCC, including UCC preparation, filing, and searching experience. Familiarity with alternate types of UCC Filings and preparation and filing requirements for same (e.g., PMSIs).
- Ability to think critically and analytically and solve problems in a fast paced and highly pressure filled environment.
- Ability to multi-task and to manage time effectively.
- Excellent interpersonal skills. Ability to work productively and cooperatively with other employees.
- Ability to maintain confidential information.
- Knowledge of Microsoft Office Suite, I-Manage, Worksite, SharePoint.
