Corporate Paralegal Supervisor

Summary

The Corporate Paralegal Supervisor assists in overseeing the Firm’s Corporate Paralegal Department. Responsibilities include coordinating assignments and workflow, performing a variety of duties with respect to transactions and other Department initiatives, coordinating and/or providing training, and maintaining direct daily contact with attorneys and support staff.

Essential Duties and Responsibilities

  • Works directly with attorneys on all phases of corporate transactions, including due diligence, transaction signing, transaction closing and post-closing work;
  • Assigns paralegal support to specific matters, determining scheduling and support requirements while ensuring that all deadlines are met;
  • Maintains record of assignments and calendar of paralegal schedules so that the Department may provide optimum and continuous support to attorneys at all times;
  • Coordinates with other support departments to effectively and efficiently meet the needs of each transaction or project;
  • Creates and maintains training manuals for corporate paralegals;
  • Provides and/or coordinates training regarding all corporate paralegal skills and support applications (includes coordination of seminars and educational gatherings as needed);
  • Assists in analyzing and reporting on paralegals’ time to assess workload, productivity and ability to meet ongoing Firm needs;
  • Assists Director in assessing paralegals’ performance and resolving issues;
  • Assists with entity management and payment of vendor invoices.

Knowledge, Skills, and Abilities Required

  • Knowledge of corporate documents (name, purpose, format); types of corporate transactions (mergers, acquisitions, tender offers (hostile and friendly), IPOs, LBOs, securities offerings, etc; transaction sequences and what is involved in each phase (pre-transaction research, negotiating sessions, Securities and Exchange Commission (SEC) filings, closings and post-closing activities); and SEC filing rules and EDGAR filings;
  • Ability to work independently and as part of a team;
  • Ability to organize and prioritize numerous tasks and complete them under time constraints;
  • Ability to maintain working knowledge of Firm’s practice areas and procedures associated with each practice area;
  • Ability to consistently evaluate and upgrade practice support service and technology;
  • Ability and willingness to take on additional responsibilities as the need arises;
  • Position frequently requires more than 35 hours per week to perform the essential duties of the position. Ability and willingness to extend the workday is required;
  • Excellent interpersonal and written communication skills. 

Education and Experience

  • Bachelor’s Degree required;
  • Minimum of three years’ experience as a corporate paralegal or supervisor of corporate paralegals in a major law firm;
  • Supervisory experience preferred.
