Responsibilities
As an Emerging Companies Paralegal, you will be responsible for working on a myriad of legal tasks and projects and providing support functions to your team of attorneys.  Including, but not limited to:

  • Forming large numbers of companies, including a set of documents for each such company such as a certificate of incorporation, action by incorporator, bylaws, organizational board consents, restricted stock purchase agreements, consulting & employment-related agreements, advisor and intern agreements, and NDAs and confidentiality agreements.
  • Assisting with drafting documents for and closings of venture capital financings, acquisitions and mergers, and other transactions.
  • Organizing and maintaining deal documents, minute books, corporate records, and stock ledgers.
  • Assist in all phases of corporate transactions from inception to closing.
  • Drafting and filing documents related to ongoing operations, such as board and stockholder consents, and equity and services agreements.
  • Prepare and file UCC financing statements, Form Ds, Blue Sky filings, SEC registrations and public company SEC filings.
  • Creating and maintaining calendars and timetables for transactions, and distributions to attorneys and other team members.
  • Assist with stock option plan administration, including drafting shareholder plans, resolutions, agreements, and other state and federal filings
  • Drafting forms, letters, or other legal documents.

Qualifications

As an Emerging Companies Paralegal, you will be expected to apply your organizational, attention to detail, confidentiality and communication skills while displaying a positive, high-energy attitude. The successful Emerging Companies Paralegal should display proficient knowledge of internal software applications, such as word processing, spreadsheets and databases and knowledge of MS Office applications, specifically MS Word, MS Excel and MS Outlook and Internet research. The ideal candidate should possess the ability to accurately interpret and understand legal concepts and procedures as they relate to the practice areas and the organizational and project management skills needed to manage time well, prioritize effectively, and handle multiple deadlines.  A Bachelor’s Degree or paralegal certificate from an ABA-approved program is required, as well as five (5)+ years related law firm experience, preferably as a Paralegal within an emerging companies practice.
