Corporate Paralegal

Large, premier, global, law firm is seeking a mid-senior level Corporate Paralegal to support their forward thinking corporate practice.
Responsibilities
- ENTITY (CORPORATIONS, LIMITED LIABILITY COMPANIES, AND LIMITED PARTNERSHIPS) FORMATION AND ORGANIZATION (Knowledge of not-for-profit corporations, professional corporations, and professional limited liability companies is helpful – but not essential).
Responsibilities include the draft and preparation of foreign qualifications; fictitious name filings; by-laws; shareholders’ agreements; limited liability and (initial) limited partnership agreements; organizational resolutions (of incorporator and of the directors); subscription agreements; stock certificates; and partnership or sole proprietorship certificates.
- ONGOING/CONTINUED ENTITY MAINTENANCE.
Responsibilities include the draft and preparation of corporate resolutions (member, manager, shareholder, director or otherwise); dissolution, consolidation, and merger filings, inclusive of all corresponding authorization documents (plans, agreements, certificates, etc.); closing checklists; document closing binders; and organizational charts/fact books.
- UCC.
Responsibilities include the draft and preparation of UCC-1 and UCC-3 (amendments, assignments, terminations, etc.) Financing Statements and the conducting, analyzing or summarizing of UCC/lien search results.
- REG D (knowledge of EDGAR and EFD required).
Responsibilities include conducting SEC/Blue Sky research and the draft, preparation, and submission of Form D and Blue Sky filings.
- TAX AND INSURANCE.
Responsibilities include the draft, preparation, and submission of Form SS-4, check-the-box/S-corp. elections, and applications for withholding (tax) or unemployment insurance accounts.
- AD HOC REAL ESTATE (knowledge of ACRIS and notary qualification required).
Responsibilities include the draft, preparation, and submission/transmittal of real property transfer tax forms (NY and NJ) and closing binders.
Qualifications
- At least 2+ years of mid-large firm experience
- Bachelor’s Degree
- Strong verbal and written communication skills
- Resourceful
