As a Corporate Paralegal-Emerging Companies, you will be responsible for performing legal tasks, working on legal projects, and providing various support functions to supervisors. The successful Paralegal will be responsible for facilitating the completion of projects ranging from simple to complex transactions, developing procedures to maintain the integrity of transactional files and information, drafting legal documents, and coordinating the closure of transactional files while accomplishing these and other tasks:
- Forming large numbers of companies, including a set of documents for each such company such as a certificate of incorporation, action by incorporator, bylaws, organizational board consents, restricted stock purchase agreements, consulting & employment-related agreements, advisor and intern agreements, and NDAs and confidentiality agreements.
- Assisting with drafting documents for and closings of venture capital financings, acquisitions and mergers, and other transactions. Organizing and maintaining deal documents, minute books, corporate records, and stock ledgers (including the latest online tools such as eShares).
- Drafting and filing documents related to ongoing operations, such as board and stockholder consents, and equity and services agreements.
- File UCC financing statements, Form Ds, Blue Sky filings and SEC registrations.
- Administer stock option plans.
- Creating and maintaining calendars and timetables for transactions, and distributions to supervisors and other team members.
- Drafting forms, letters, or other legal documents.
As a Corporate Paralegal-Emerging Companies, you will be expected to apply your organizational and communication skills while displaying a positive, high-energy attitude. The successful Corporate Paralegal-Emerging Companies should display proficient knowledge of internal software applications, such as word processing, internet searching skills, spreadsheets and databases and knowledge of MS Office applications, specifically MS Word, MS Excel and MS Outlook. Familiarity with eShares is a plus. The ideal candidate should possess the ability to accurately interpret and understand legal concepts and procedures as they relate to the practice areas and the organizational and project management skills needed to manage time well, prioritize effectively, and handle multiple deadlines. A Bachelor’s Degree or paralegal certificate from an ABA-approved program is required, as well as four (4)+ years related law firm experience, preferably as a Paralegal.
