As a Paralegal II – Emerging Companies, you will be responsible for performing legal tasks, working on legal projects, and providing various support functions to supervisors.  The successful Paralegal will be responsible for facilitating the completion of projects for moderately complex cases or transactions, developing procedures to maintain the integrity of case or transactional files and information, drafting legal documents, and coordinating the closure of a case or transactional files while accomplishing these and other tasks:

  • Assisting with entity formation, mergers, dissolutions, foreign qualifications, including drafting subscription, shareholder, employment, and confidentiality agreements, checking and reserving corporate names, and preparing drafts of corporate organizational documents.
  • Assisting with closings of venture capital financings, acquisitions and mergers, and other transactions. Organizing and maintaining deal documents, minute books, corporate records, and stock ledgers.
  • Drafting and filing documents related to business incorporation and ongoing operations.
  • May prepare and file UCC financing statements, Blue Sky and SEC registrations.
  • May assist with stock option plan administration, including drafting BOD/shareholder plans, resolutions, agreements, and other state and federal filings
  • Creating and maintaining calendars for transactions, and distributes to supervisors and other team members.
  • Drafting forms, letters, or other legal documents.

As a Paralegal II – Emerging Companies, you will be expected to apply your organizational and communication skills while displaying a positive, high-energy attitude. The successful Paralegal II – Emerging Companies should display proficient knowledge of internal software applications, such as word processing, internet searching skills, spreadsheets and databases and knowledge of MS Office applications, specifically MS Word, MS Excel and MS Outlook. Familiarity with eShares and/or CapMx is a plus.  The ideal candidate should possess the ability to accurately interpret and understand legal concepts and procedures as they relate to the practice areas and the organizational and project management skills needed to manage time well, prioritize effectively, and handle multiple deadlines.  A bachelor’s degree or paralegal certificate from an ABA-approved program is required, as well as four (4)+ years related law firm experience, preferably as a Paralegal.
