Corporate Paralegal (Private Equity/M&A-PEMA)

Reports to: Corporate Paralegal Coordinator

Position Summary

The Corporate Paralegal will work closely with and provide support to the firm with corporate matters. The Corporate Paralegal will be responsible for assisting with the day to day management of corporate cases.

Primary Responsibilities and/or Essential Functions

  • Reviews, drafts, and prepares legal documents; conducts due diligence and research; manages information  using Firm databases;
  • Exhibits technical skills consistent with new and existing Firm technology and is proficient with respect to filing procedures and filing jurisdictions;
  • Prepares and organizes documentation for pre-closing, closing and post-closings;
  • Forms, amends, qualifies and dissolves business entities;
  • Provides overflow assistance to peers/team members within department to further enhance departmental operations; and promotes a positive work and team environment;
  • Interacts with departmental paralegal clerk(s), including the monitoring and coordinating of assigned duties and tasks;
  • Maintains time records ensuring accurate and timely release of DTE entries;
  • Assumes other duties and/or assists with special projects as requested by the Paralegal Supervisor;
  • Develops and maintains excellent customer service relationships with clients, attorneys, vendors, and administrative staff;
  • Adheres to Firm policies and procedures and supports Firm’s initiatives;
  • Attends training classes and completes annual training requirements for skills enhancement;
  • Observes confidentiality of all Firm matters and performs under the guidelines of the Administrative Staff Principles (attached); and
  • Completes and submits electronic and signed weekly timesheets and PTO requests to manager in a timely manner.
  • Other duties may be assigned.

Knowledge, Skills & Abilities

  • A minimum of 1 year experience as a paralegal or legal assistant
  • Strong communication, organizational and research skills
  • Attention to detail
  • Ability to organize and prioritize numerous tasks and complete them under time constraints
  • Must be highly motivated, self-starter, creative and possess the ability to work under pressure with demanding deadlines
  • Highly developed interpersonal skills with the ability to confidentially and graciously interact with law school and law firm staff, attorneys and students also required.
  • Strong clerical and typing skills as well as proficiency in Word, Excel, Position also requires the ability to travel and to work occasional overtime as necessary
  • Law firm experience is preferred

 Education/Certifications

  • BA/BS with strong academic record
