Corporate Legal Librarian
Job Description
- Research for SEC precedents as prescribed by the lawyers
- Research SEC filings for specific disclosures, clause provisions, risk factors, etc.
- Search across SEC filings to identify transactions / obtain deal documents, e.g., merger of equals in the pharmaceuticals industry
- Identify / obtain private offering documents using a variety of databases
- Conduct SEC correspondence-related research, e.g., SEC comment letters and issuer responses
- Compile company profile and background reports customized to the preferences of the various practice groups (e.g., capital markets, M&A, etc.)
- Obtain SEC filing exhibits
- Perform analyst reports research on specific companies, industries, economies, geographies
- Familiarity with Thomson SDC to produce lists of offerings that fit requestor needs
- Compile stock price histories, exchange rate histories, trading volume histories
- Conduct Bloomberg-related research including identifying/verifying CUSIPs, obtaining trustee reports, generating company debt profiles, obtaining prospectuses not available on other products, and more
- Compile market capitalization histories and trading volume histories using S&P Capital IQ
- Perform corporate governance / corporate activism-related research
- Possess knowledge Alacra, Bloomberg, Business Law Center (formerly Westlaw Business / LivEdgar), FactSet, Intelliconnect, Intelligize, ISS Governance Analytics, Lexis Securities Mosaic, LexisNexis, S&P Capital IQ, SDC, Thomson One
- Conversant in the language of business and deals and maintains knowledge of current trends in securities offerings/markets.
Job & Educational Requirements
- 2 years’ law firm or business firm experience.
- MLS from an ABA accredited school.
