In-house Corporate Securities Paralegal
Beneficial Ownership and Section 16 Reporting
Coordinate required disclosures under Section 16 of the Securities Exchange Act of 1934, including:
- Review daily transaction reports and monitor for required Section 16 reporting.
- Draft and file Forms 3, 4 and 5 filings for Company officers and directors. Interact with securities counsel, brokers, and insiders on SEC filings of insider transactions.
- Reconcile insider stock ownership with reports prepared by Tax Department.
- Maintain software application database of beneficial holdings, and engage with third party vendor on questions and corporate transactions affecting data.
- Maintain the record of the Company’s officer and director beneficial ownership, and prepare documents in support of the record for various purposes, including proxy statements and director and officer questionnaires.
- Confer with the Company’s stock plan administrator on transactions affecting corporate equity and adjustments to beneficial holdings.
- Monitor insider ownership of affiliated securities.
Transfer Agent – Outstanding Shares
Track and report outstanding shares of Company stock, including:
- Reconcile month-end outstanding shares with monthly transfer agent reports and provide reconciliations and Share Roll Forward reports to Accounting Department.
- Prepare presentation slides reporting Company outstanding share information for inclusion in materials provided to the Board of Directors.
- Provide support and tracking for the Company’s stock repurchase program.
- Stock Plan Administration
- Prepare and distribute stock grant agreements and exhibits.
- Maintain records of incentive plans, amendments, and registrations of securities.
- Participate in regular conference calls with online stock plan administration vendor.
- Maintain online library of relevant stock plan documents.
