Financial Transactions Paralegal

Under direct supervision, provides organizational and substantive support to attorneys and paralegals in the Financial Transactions Group.  Performs other related department and firm duties as assigned.  Responsible for ensuring client satisfaction is achieved throughout all position responsibilities.

Essential Responsibilities

Transactional

  • Assist in preparations for closings of general financings; public offerings, acquisitions and mergers, and other corporate transactions and agreements; assist in preparation and filing of UCC financing statements, including researching filing requirements in various states; assist with proofreading and redlining of documents, document distributions; drafting closing certificates and closing checklists, coordinating lien review, attend transaction closings and assist with document organization; organize, index, prepare and distribute bound volumes of closing documents.
  • Business Entity Formation/Organization:  Assist with formation of corporations, including checking corporate name availability, reserving corporate names, preparing drafts of corporate organizational documents; assist with ongoing operations of corporations; including preparing drafts of minutes for annual meetings; foreign qualifications, withdrawal and dissolutions.
  • Assists with proofreading and redlining of documents, document distribution, preparation of filings and financing statements.
  • Conduct research and perform library and on-line searches; work with outside libraries and Firm library staff to obtain reference materials.
  • Assists with preparation of audit response letters.
  • Responsible for adhering to the firm’s document management and retrieval systems including computerized systems.
  • Organize and maintain document management and retrieval systems, including computerized systems.

Administrative Functions

  • Complete and release timenotes on a daily basis.
  • Complete and release time sheets on a weekly basis.
  • Ensure that minimum billable hour expectation is met.
  • Proactively work with your supervisor and the attorneys in your group to seek out additional work when your billable hour expectation cannot be met through regular assigned work.

  • Consistently promote and model the Firm’s Client Service Principles in leadership, teamwork, work product, and personal interaction.
  • Ensure compliance with the Firm’s Information Handling Policy, including safeguarding confidential and personal information, and reporting any suspected breach appropriately and immediately.
  • Adhere to the Firm’s General Safety Practices and any unique safety practices for department and building.

Education and Experience

  • Bachelor’s degree and strong academic record.
  • Strong organizational and writing skills required.
  • 2-5 years Financial Transactions Experience. (Closing and Post Closing, UCC Statements, Lien Review)

  • Strong sense of accountability, taking ownership over projects and responsibilities and resolving issues proactively.
  • High level of accuracy, attention to detail, and excellent proofreading skills.
  • Ability to research, analyze and synthesize large amounts of data.

  • Ability to work overtime required.
