Summary

Premier, global, law firm is seeking a collaborative and strategic leader to manage and develop the corporate paralegal team. The Corporate Paralegal Manager will work under the direction of the Administrative Director and in partnership with Corporate Partners, attorneys, and firm leadership to oversee the administrative, operational, and professional management of the Corporate Paralegals.

Primary responsibilities include managing staffing and workflow, balancing workloads, and ensuring effective utilization of the team to deliver exceptional client service. In addition, this role will operate in a player-coach capacity by directly supporting attorneys on complex transactional matters, including mergers and acquisitions (M&A), private equity, venture capital, securities, debt/finance, and general corporate governance.

The Paralegal Manager will oversee work allocation, support due diligence and transaction execution, promote operational efficiency, and maintain high standards for work quality, documentation, and client service. The ideal candidate will have a strong corporate law background, excellent organizational and leadership skills, and the ability to manage multiple priorities in a fast-paced environment. 

Essential Job Requirements

Management Responsibilities

  • Oversee the day-to-day management of the corporate paralegal team, including staffing, workload distribution, attendance, and overall utilization.
  • Partner with attorneys and practice leadership to assess staffing needs, manage workflow, and ensure appropriate coverage across matters and practice areas.
  • Monitor workloads and capacity to maintain an equitable distribution of assignments aligned with client priorities.
  • Coordinate performance evaluations with attorneys and Human Resources, prepare compensation recommendations, and deliver ongoing feedback and coaching.
  • Collaborate with the Training Specialist to develop and implement training, professional development, and cross-training initiatives across the team.
  • Develop and manage onboarding and orientation programs for new corporate paralegals.
  • Provide mentorship and guidance to support professional growth, performance, and engagement.
  • Manage timekeeping and payroll administration, including overtime, PTO approvals, and compliance with firm policies.
  • Review time entries as needed, monitor billable and accountable hours, address coding issues, and prepare utilization and productivity reports.
  • Serve as a liaison between the corporate paralegal team and firm leadership, communicating priorities, concerns, and operational updates.
  • Develop and maintain standardized templates, procedures, and best practices to promote consistency, efficiency, and quality.
  • In partnership with the Training Specialist, identify and implement process improvements, workflow enhancements, and technology solutions to support high-quality client service.

Paralegal Responsibilities

  • Serve in a player-coach capacity by performing substantive corporate paralegal work while managing leadership responsibilities.
  • Support and oversee corporate transactions, including entity formations, financings, mergers and acquisitions, restructurings, and dissolutions.
  • Prepare, review, and quality-control key transaction materials, including closing documents, board and stockholder materials, due diligence summaries, and closing volumes.
  • Prepare and maintain capitalization tables and manage equity administration using platforms such as Carta, Pulley, AngelList, and ShareWorks.
  • Maintain corporate records and minute books, including consents, resolutions, governance documentation, and officer/director information.
  • Prepare and coordinate statutory, UCC, Blue Sky, SEC, and other corporate and securities filings, and monitor related compliance deadlines. 

Skills, Knowledge, and Abilities

  • Bachelor’s degree required; Paralegal certification preferred.
  • Minimum of 5 years of law firm experience as a corporate paralegal, with a focus on ECVC, M&A, private equity, and securities.
  • Excellent written and verbal communication skills.
  • Proficiency in Microsoft Office, iManage, DocuSign, and equity/deal management platforms (Carta, Pulley, AngelList, ShareWorks).
  • Familiarity with Blue Sky compliance, UCC filings, and SEC reporting.
  • Demonstrated leadership experience, including training, mentoring, and team development.
  • Ability to handle sensitive information with discretion and maintain confidentiality.
  • Strong attention to detail and ability to manage complex, high-volume transactional work.
  • Highly organized, proactive, and able to work independently and collaboratively in a fast-paced environment.
  • Strong client-service orientation and commitment to professional excellence. 

Schedule: Full-time, Hybrid, Monday through Friday, Flexibility to work overtime and weekends as needed, especially during deal closings.

For candidates meeting the requirements, the expected base salary is $150,000.00- $175,000.00, plus bonus. The range provided is the salary that the firm in good faith believes at the time of this posting that it is willing to pay for the advertised position. Exact compensation will be determined based on individual candidate qualifications and location.
