Paralegal (Corporate)

Summary
The Corporate Paralegal will support attorneys on a range of transactional matters, including mergers and acquisitions (M&A), private equity, venture capital, securities, structured finance, debt/finance and general corporate governance. This role involves assisting with due diligence, preparing and organizing legal documents, maintaining corporate records, and coordinating with attorneys, clients, and third parties. The ideal candidate will have a strong background in corporate law, attention to detail, and the ability to manage multiple tasks in a fast-paced environment. This role is designed for a corporate paralegal with 2–5 years of law firm experience who is looking to build and expand foundational skills across a range of transactional and corporate matters under attorney supervision.
Essential Job Requirements
Corporate Governance & Entity Support
- Assist with entity formations, amendments, reinstatements, dissolutions, and related filings across multiple jurisdictions.
- Obtain and manage good standing certificates, certified charters, and related corporate documents.
- Prepare and file annual reports and support ongoing corporate compliance requirements.
- Maintain corporate records and assist with organization of minute books and governance documentation.
- Assist with preparation of simple consents, resolutions, and related corporate governance documents based on attorney instructions.
Transactional & Closing Support
- Assist with the preparation and organization of closing checklists and transaction documents.
- Assist with preparation of signature packets and coordination of execution processes.
- Coordinate signature pages and closing deliverables with attorneys, clients, and third parties.
- Support execution and distribution of transaction documents, including use of electronic signature platforms.
- Assist in the preparation of closing deliverables, including officers’ certificates, secretary’s certificates, incumbency certificates, and good standing certificates.
- Compile organizational documents, including charters, bylaws, operating agreements, and partnership agreements, for use in transactions.
- Assist with organizing and reviewing closing documentation for completeness.
- Assist with compiling and organizing closing binders and post-closing documentation.
- Support multiple transactions in a fast-paced environment while maintaining attention to detail and meeting deadlines.
UCC, Lien Search & Finance Support
- Assist with preparation and filing of UCC-1 financing statements, amendments, assignments, and continuations.
- Conduct UCC, tax lien, judgment, litigation, and related searches across multiple jurisdictions.
- Prepare summaries of search results, including existing filings, for attorney review.
- Assist with maintaining UCC filing records and tracking continuation deadlines.
- Assist with UCC-related filings and related documentation in connection with financing transactions.
Real Estate Support
- Coordinate title and survey requests and assist with review of related materials.
- Arrange for recording of real estate documents.
- Assist with preparation of closing statements, payoff letters, and related documentation.
- Support real estate closings, including checklist management, document organization, and signature coordination.
- Assist with preparation of basic real estate documents, including deeds, affidavits, notes, and mortgages.
Administrative, Research & Document Management Duties
- Conduct basic legal and factual research using Westlaw, LexisNexis, and other resources as directed.
- Order lien searches, summarize results, and maintain accurate records of company data.
- Track key dates and deadlines to support timely filings and transaction milestones.
- Order and distribute certified copies, good standing certificates, and other necessary documents.
- Maintain organized electronic and physical deal files in accordance with firm standards.
Skills, Knowledge, and Abilities
- Bachelor’s degree required; paralegal certification preferred.
- 2–5 years of corporate paralegal experience in a law firm environment.
- Excellent written and oral communication skills.
- Proficiency in Microsoft Office Suite, iManage, DocuSign, and deal management software.
- Familiarity with UCC filings and general corporate and securities concepts preferred.
- Strong organizational skills with the ability to manage high volumes of documentation.
- Strong attention to detail, with the ability to support multiple transactions and competing priorities.
- Ability to work both independently and collaboratively under attorney supervision.
- Ability to handle sensitive information with discretion and maintain confidentiality.
- Proactive and client-service-oriented approach to assignments and problem-solving.
- Experience working in a fast-paced, deadline-driven environment.

The expected salary range for candidates meeting the requirements of this position is $120,000.00-$130,000.00, plus overtime and bonus. The range provided is the salary that the firm in good faith believes at the time of this posting that it is willing to pay for the advertised position. Exact compensation will be determined based on individual candidate qualifications and location.
