Corporate Paralegal

New York, NY

This is a full-time position and core hours of work and days are Monday through Friday 9am to 6pm. This position may require some after-hours and/or weekend overtime work.

Duties and Responsibilities include, but are not limited to:

The candidate will be assisting Firm’s Corporate Group in the coordination of all phases of a company’s lifecycle (from formation to dissolution) and transactions (from inception through closing). This candidate will be responsible for:

  • Forming and maintaining various business entities including corporations and limited liability companies, maintaining minute books, capitalization tables and other corporate records
  • Obtaining EINs and preparing and filing IRS tax elections
  • Drafting and preparing minutes, consents, stock certificates and related transfer documents, officer certificates and related basic corporate and commercial documents
  • Researching state corporate laws regarding foreign qualifications, blue sky compliance and other matters
  • Preparing and filing appropriate documents with the SEC, for example Regulation D and Section 16 filings
  • Preparing closing checklists, coordinating closings, preparing signature pages and following up on post-closing items, including preparation of related closing indices and binders

Requirements

  • Bachelor’s degree or Associate’s degree with a paralegal certificate from an ABA qualified program.
  • Must have 10+ years of Corporate Transactional experience in a law firm, corporation or professional services environment.
  • Deep understanding and knowledge of corporate procedures including, but not limited to, document analysis, legal concepts and strategies, factual and legal research, and preparation of drafts of original closing documents and materials and responses to comments from state agencies relating to filings.
  • Must be familiar with filing appropriate documents with the Secretary of State, Department of Corporations, Internal Revenue Service and/or the Franchise Tax Board, and obtaining tax identification numbers.
  • The ideal candidate will have a strong history of multi-tasking and office organizational skills, be proficient in MS Word, Excel, and Power Point and be familiar with standard legal database software and programs.
