Responsibilities

As corporate paralegal you will be responsible for performing customary tasks including assisting in the preparation of transaction documentation, making revisions and proofreading, assisting in the execution of transactions, assisting with document distributions and coordinating the closure of transaction files.  Strong organizational skills, attention to detail and a demonstrated ability to maintain the highest quality work product in a deadline-driven environment are essential qualities.

As a Corporate paralegal you can expect to work on a variety of transactions including bond financing, secured loans, public offerings, private placements, mergers and acquisitions as well as general corporate matters. You will work with vendors to coordinate UCC searches then prepare UCC summary charts and arrange various types of UCC filings with jurisdictions.  You may also be asked to file Articles of Incorporation/Organization and Formation, prepare and file state qualification forms, dissolution/cancellation, amendments, SS4 forms and EINs and other organizational and related documents.

Requirements

Candidates must have a Bachelor’s degree and at least five years prior experience at a major law firm as a Corporate paralegal with corporate finance, securities and general knowledge of Blue Sky is a plus.
